  • The Contractual Parties of InGentibus are those persons (natural or legal) who are selected to receive funding in order to prepare and carry out projects or to manage project areas and who become responsible for the implementation and success of such initiatives.
  • In general, the projects selected for funding by InGentibus will be of a long-term nature (eight to ten years), although InGentibus may in its own discretion from time to time decide to support projects of a short-term nature (two to six months).
  • Each contractual party will be required to enter into both the Foundation's standard framework agreement, as well as one or more separate and specific project agreement (that will be consistent with and subject to the framework agreement).
    These agreements will set forth the specific guidelines, milestones and requirements applicable to each project while giving due regard to criteria such as:
    • Ethical and environmental sustainability
    • Guarantee of professionalism and good reputation
    • National and international project scalability.
  • InGentibus reserves the right to modify or withhold financial support and/or renegotiate and amend the terms of the relevant agreements in the event of, inter alia:
    • Any change in the composition/management of a contractual party. Any change in the strategy or workplan of a contractual party any default under the framework agreement or project agreement.
  • The framework agreement and the project agreement will establish the procedures whereby InGentibus will monitor the implementation of projects. In general, such procedures will establish that:
    • After one year from the launch of a project, an initial compliance review will be undertaken by InGentibus in order to assess the strengths and weaknesses of the project implementation methodology and to suggest modifications and improvements if necessary
    • After four years from the launch of a project, InGentibus and the countractual party will again review progress and agree to (i) confirm the substance of the agreements, in the event progress has been satisfactory, (ii) modify the substance of the agreements, in the event of "ordinary" operational difficulties, or (iii) completely reformulate the project and the underlying agreements, in the event of "extraordinary" operating or structural difficulties. It will be mandatory to make a peer-review to evaluate and verify whether the project is still in line with the goals and time schedule, or if it has to be reformulated, in both cases being thereafter subject to a regime of definitive agreement or whether the project has to be abandoned.
    • After eight/ten years, the life cycle of the project will approach its natural conclusion and the collaboration between InGentibus and the countractual party will cease, unless the parties agree to renew such collaboration for an additional cycle.
